#4 If it's only aimed at the largest institutions, the targets may at least look into accepting the damage to their egos from breaking themselves into smaller pieces not subject to the fees.

If these banks really can pass on higher costs to consumers, then it implies an extraordinary level of monopoly power in the industry, with the large number of small and mid-size banks not providing effective competition to the largest banks. -- Dean Baker, Center for Economic and Policy Research, quoted in WSJ.
